1. Website Purpose

Authrizd provides information about enterprise AI authority, pre-execution authorization, AI governance, Authrizd products, integrations, research, resources, demonstrations, and potential pilot opportunities.

The public website is primarily informational and business-to-business in nature.

Unless expressly stated otherwise, the public website is not itself an enterprise production deployment of Authrizd and does not create authority for any AI agent, system, employee, or organization.

2. Separate Customer and Pilot Agreements

These Terms govern the public website.

Enterprise pilots, production deployments, subscriptions, professional services, APIs, customer environments, or other commercial services may require separate agreements.

If you or your organization enters into a separate written agreement with AI Quantum Dev concerning an Authrizd product or service, that agreement governs the applicable product or service to the extent it conflicts with these website Terms.

Nothing on this public website creates a service-level agreement, support commitment, production-availability commitment, or contractual obligation to provide a particular product feature.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the website.

If you use the website on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization with respect to your use of the website.

4. Informational Content

Website content is provided for general informational and educational purposes.

Nothing on the website constitutes:

We seek to distinguish currently available or validated capabilities from capabilities that are planned, in validation, illustrative, synthetic, or under development.

References to a future feature, integration, roadmap item, or potential capability do not constitute a promise that the feature will be built, released, supported, or made generally available.

6. Demonstrations

Public demonstrations may use synthetic, simulated, preloaded, or illustrative information.

Unless expressly identified otherwise, a public demonstration should not be understood as a live customer production environment or proof that every illustrated integration or enforcement path is currently deployed in production.

Do not submit production credentials, authentication tokens, private keys, confidential source code, regulated information, or sensitive customer data to a public demonstration unless Authrizd has expressly provided a secure environment and written instructions authorizing that use.

7. Acceptable Use

You may use the website for lawful informational, evaluation, and business purposes.

You may not:

• violate applicable law or regulation;
• interfere with or disrupt the website or its infrastructure;
• attempt to gain unauthorized access to systems, accounts, networks, databases, or non-public functionality;
• bypass rate limits, access controls, security controls, or technical restrictions;
• introduce malware, malicious code, or harmful content;
• impersonate another person or organization;
• use the website to infringe intellectual property, privacy, confidentiality, or other rights;

• evaluate a potential pilot or business relationship;

This section does not give us ownership of your confidential information, source code, customer data, or other materials merely because you communicate with us.

WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR SUITABLE FOR ANY PARTICULAR BUSINESS, SECURITY, COMPLIANCE, OR OPERATIONAL DECISION.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI QUANTUM DEV, AUTHRIZD, AND THEIR OWNERS, PERSONNEL, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PUBLIC WEBSITE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AI QUANTUM DEV AND AUTHRIZD ARISING OUT OF OR RELATING TO THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the legal theory of liability and even if we have been advised of the possibility of damages.

Some jurisdictions do not allow certain exclusions or limitations, so some of these provisions may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AI Quantum Dev and Authrizd from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

• your material violation of these Terms;
• information you submit without authority to disclose it; or
• your infringement or violation of another person's rights.

This obligation does not apply to claims caused by Authrizd's own unlawful conduct.

• engages in abuse or fraud; or
• creates legal exposure for Authrizd or others.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent a dispute relating solely to the public website is not governed by a separate written agreement, the parties consent to the jurisdiction of the state and federal courts located in or serving San Mateo County, California.

Nothing in this section eliminates rights that applicable law does not permit a party to waive.

We may update these Terms as our website, business, or legal requirements change.

AI Quantum Dev may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of the Authrizd business.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the agreement governing use of the public website.

A separate written agreement governing an Authrizd pilot, product, service, or customer relationship supersedes these Terms for the subject matter covered by that separate agreement.
